These transaction-specific provisions shall govern the relevant transaction. Where a quotation, order acceptance, proforma invoice or contract incorporates these Website Terms, the commercial provisions below shall apply subject to any more specific term expressly agreed for that transaction.
✅ 16. Order Acceptance and Advance Payment
Sections 16 to 18 apply to a Product or Project order only where Agromach's quotation, proforma invoice, order acceptance, purchase-order acceptance, contract or other authorised commercial document expressly incorporates these Terms or contains substantially similar provisions.
Unless otherwise expressly agreed in writing, a purchase order, verbal instruction or other request submitted by a customer does not by itself bind Agromach. An order becomes commercially effective only after Agromach accepts or confirms the order and the agreed advance has been received in cleared funds.
Where a quotation or contract provides for payment by letter of credit, bank guarantee, milestone payment, credit terms or another expressly agreed payment mechanism, that written arrangement shall prevail.
Any advance received by Agromach shall be non-interest-bearing, except where mandatory law requires otherwise or Agromach expressly agrees otherwise in writing.
Agromach may appropriate or adjust an advance against amounts lawfully due from the customer under the relevant transaction, subject to the applicable commercial agreement and applicable law.
⏳ 17. Delay in Lifting, Dispatch or Customer Readiness
Where machinery or equipment is ready for dispatch or delivery and the customer fails or delays in lifting, taking delivery or providing agreed dispatch instructions, or where installation or commissioning is delayed because the site or customer-provided facilities are not ready, Agromach may issue notice of such delay and hold or store the equipment pending further instructions.
Agromach may recover reasonable storage, handling, preservation, insurance, re-handling, transportation, manpower, financing, demurrage or other incidental expenses actually incurred or becoming payable because of such customer-caused delay, where applicable under the relevant commercial agreement and law.
To the extent legally permissible and consistent with the applicable commercial agreement, Agromach may adjust such amounts against the advance or any other sums held on the customer's account, without prejudice to its right to recover any remaining amount lawfully due.
Where a dispatch, installation or commissioning schedule is affected by a customer-caused delay, the revised schedule shall be subject to Agromach's production, manpower and logistics availability. Agromach shall not be responsible for the resulting delay to the extent caused by the customer.
❌ 18. Cancellation of Confirmed Orders
Once an order has been accepted or confirmed by Agromach, it may not be cancelled, suspended or materially reduced by the customer without Agromach's prior written consent.
If Agromach agrees in writing to a cancellation, the cancellation may be subject to reasonable charges or deductions reflecting, as applicable, engineering and design work, raw materials and bought-out items procured or committed, manufacturing completed or in progress, labour, administrative expenses, financing costs, storage, vendor cancellation charges and other reasonable losses or expenses arising from the cancellation.
If the customer purports to cancel an accepted order without Agromach's written consent, or otherwise repudiates or materially breaches the confirmed order, Agromach may retain, adjust or forfeit all or part of the advance to the extent legally permissible as reasonable compensation, without prejudice to its right to claim additional reasonable compensation, unpaid amounts, expenses, contractual interest where applicable and any other remedy available under law or the relevant commercial agreement.
Any amount retained, adjusted, forfeited or claimed on account of cancellation or breach shall remain subject to applicable law, including the legal principles governing reasonable compensation for breach of contract.

Depending upon the relevant Product or Project, customers may be required to arrange facilities including:
- Suitable civil structures
- Machine foundations
- Electrical connection
- Electrical cabling
- Water
- Compressed air
- Raw material for trials
- Labour
- Lifting equipment
- Cranes
- Storage facilities
- Site access
- Safety arrangements
- Accommodation or local support for installation personnel
Actual responsibilities shall be determined by the applicable commercial or technical agreement.
🔧 20. Installation and Commissioning
Any installation, erection, commissioning, supervision or trial-run obligations undertaken by Agromach shall be governed by the applicable quotation or contract.
Project completion may depend upon the customer’s site readiness and timely availability of required facilities.
Delays resulting from unavailable utilities, civil work, customer-supplied equipment, trial material, site access or other customer obligations may affect completion schedules.

Product or Project warranties, where applicable, shall be governed by the written warranty conditions contained in the relevant quotation, order acceptance, warranty document or contract.
Nothing appearing generally on the Website creates an additional warranty beyond an expressly applicable commercial commitment.
Third-party components may additionally be subject to the respective manufacturer’s warranty terms.

For Products, machinery, services and Projects purchased from Agromach, liability shall instead be determined by the applicable quotation, warranty, purchase-order acceptance, agreement, contract and applicable law.
Nothing in these Terms excludes liability that cannot legally be excluded, removes mandatory statutory rights, or restricts a party from pursuing a legal remedy where such restriction would be unlawful.
⚖️ 37. Mandatory Consumer Rights
Nothing in these Terms is intended to exclude, limit or override rights or remedies that cannot lawfully be excluded under applicable consumer-protection law.
Agromach shall not rely upon these Terms to validate a representation or advertisement that would otherwise be unlawful or misleading.
🛡️ 38. E-Commerce
At present, the Website is principally intended to provide information and generate business enquiries rather than operate as a conventional online retail checkout.
If Agromach subsequently enables direct online purchase of Products or Services, additional transaction-specific terms, cancellation/refund disclosures and legally required e-commerce information may apply.
🛍️ 39. Indemnification
To the extent permitted under applicable law, you agree to indemnify Agromach and its officers, employees and representatives against claims, liabilities or reasonable expenses arising directly from your unlawful use of the Website, your material breach of these Terms, your intentional infringement of third-party rights, or fraudulent or malicious activity carried out by you through the Website.
This clause shall not require you to indemnify Agromach for Agromach’s own unlawful conduct.

Agromach shall not be responsible for delay or failure relating to Website availability resulting from circumstances beyond its reasonable control, including natural disasters, flood, fire, war, civil disturbance, government restrictions, epidemic or pandemic, power failure, Internet disruption, cyberattack, communication failure, labour disturbance or transport disruption.
Product and Project force-majeure obligations shall be determined separately under the relevant commercial contract.
🔥 41. Governing Law
These Terms and use of the Website shall be governed by the laws of India, without giving effect to conflict-of-law rules to the extent applicable.
Your use of the Website may also be subject to other mandatory local, national or international laws depending upon your location.
⚖️ 42. Dispute Resolution
If you have a concern or dispute concerning the Website or these Terms, you agree to first make a reasonable attempt to resolve the matter informally by contacting Agromach.
If a Website-related dispute cannot be resolved amicably, and subject to any mandatory jurisdiction provided by applicable law, competent courts at Faridabad, Haryana, India shall have jurisdiction where legally permissible.
Disputes arising from a Product supply, machinery order or turnkey Project shall be governed by the dispute-resolution provisions of the applicable commercial document and, where applicable, Section 43 (Arbitration) of these Terms.
💬 43. Arbitration
Unless the applicable transaction-specific agreement expressly provides another valid dispute-resolution mechanism, any dispute or difference whatsoever arising between Agromach and the customer out of or relating to the construction, meaning, scope, operation or effect of the applicable commercial contract, or the validity or breach thereof, shall be settled by arbitration.
For a domestic commercial dispute, the arbitration shall be conducted in accordance with the Rules of Domestic Commercial Arbitration of the Indian Council of Arbitration (ICA), as in force on the date the arbitral proceedings commence. For an international commercial dispute, the arbitration shall be conducted in accordance with the Rules of International Commercial Arbitration of the Indian Council of Arbitration (ICA), as in force on that date. The award made in pursuance thereof shall be binding on the parties, subject to the rights and remedies available under applicable law.
The arbitration shall be governed by the Arbitration and Conciliation Act, 1996, as amended or replaced from time to time.
Unless otherwise expressly agreed in the applicable commercial contract, the seat and legal place of arbitration shall be Faridabad, Haryana, India, and the language of the arbitration shall be English. The constitution and appointment of the arbitral tribunal shall be in accordance with the applicable ICA Rules.
Hearings may be conducted physically, virtually or at such venue as may be determined in accordance with the applicable ICA Rules without changing the agreed seat of arbitration. Subject to applicable law, courts at Faridabad, Haryana shall have jurisdiction in relation to court proceedings arising out of or connected with such arbitration.
⚖️ 44. European Union Users
If you are a consumer situated in the European Union, you may benefit from mandatory provisions of the law applicable to you that cannot lawfully be excluded by these Terms.
Nothing in these Terms is intended to remove such mandatory rights.
🇪🇺 45. International Trade, Sanctions and Export-Control Compliance
Agromach conducts international business subject to applicable laws.
Where relevant to a transaction, Users and customers are responsible for complying with applicable export controls, import regulations, trade sanctions, restricted-party requirements and customs requirements.
A User shall not use the Website or Agromach’s Products in a manner requiring Agromach to knowingly violate applicable sanctions or export-control law.
🌍 46. Severability
If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision shall, to the extent legally permissible, be interpreted or modified so as to achieve its intended purpose as closely as possible.
The remaining provisions shall remain in effect.
✂️ 47. Waiver
Failure by Agromach to exercise a right or require performance of an obligation under these Terms on one occasion shall not automatically constitute a waiver of that right or obligation.
A waiver relating to one breach shall not automatically constitute a waiver relating to a subsequent breach.
🤝 48. Translation
Agromach may make these Terms available in languages other than English for convenience.
